Your use of NuDeal will confirm your agreement to these terms and conditions ("TC") as well as your acceptance of any changes we may make to the TC. All individuals and companies must agree to our terms and conditions before becoming a member of NuDeal. Information available on our NuDeal.com site regarding members, their trade leads, products, or company listings is provided by the members. Any such provided information is the sole responsibility of the member who provided the information. NuDeal is not responsible or liable for the legality, accuracy, or truthfulness of any such information. In addition, NuDeal is not responsible or liable for the conduct of any of our members in relation to their business activities using or providing information on our website.

NuDeal RIGHTS AND REPRESENTATIONS
NuDeal reserves the right to deny access to you or any group of users to NuDeal, at its sole discretion, at any time. NuDeal also reserves the right to remove any listings or other information or content from NuDeal at any time and at its sole discretion.
NuDeal cannot and does not guarantee or warrant that files available for downloading on NuDeal will be free of infection or viruses, worms, Trojan horses or other code that manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to NuDeal for the reconstruction of any lost data.

NuDeal DOES NOT WARRANT THAT NuDeal WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DEFECTS IN NuDeal WILL BE CORRECTED. NuDeal IS PROVIDED ON AN "AS IS, AS AVAILABLE" BASIS. IN NO EVENT WILL NuDeal (OR ITS DIRECTORS, OFFICERS, EMPLOYEES, SUPPLIERS, AGENTS, REPRESENTATIVES, DISTRIBUTORS OR AFFILIATES) BE LIABLE FOR (I) ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT OR SPECIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE NuDeal, OR ANY INFORMATION, OR TRANSACTIONS PROVIDED ON NuDeal OR DOWNLOADED FROM NuDeal, EVEN IF NuDeal OR ITS AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN NuDeal, INCLUDING WITHOUT LIMITATION ANY DIRECTORY OR EVENT LISTINGS OR INFORMATION DOWNLOADED THROUGH NuDeal. BECAUSE SOME PROVINCES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH PROVINCES, NuDeal' LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

This information is proprietary to NuDeal and its data suppliers and is protected under Canadian copyright law and international treaty provisions. This information is licensed for your personal or professional use and may not be resold or provided to others. You may not distribute, sell, rent, sublicense, or lease such information, in whole or in part to any third party; and you will not make such information available in whole or in part to any other user in any networked or time-sharing environment, or transfer the information in whole or in part to any computer other than the PC used to access this information.
Trademarks
The NuDeal name and logo, the NuDeal.com name and logo and all related products and service names, design marks, and slogans are the trademarks, service marks or registered trademarks of NuDeal or its affiliates. Payment for joining NuDeal is non-refundable.
Swearing, obscenities, and inappropriate behavior (as solely determined by NuDeal) on bulletin or message boards, chat rooms, or otherwise on the site will not be tolerated, and your membership will be immediately terminated if we determine that you have participated in such behavior on the site.
Abuse of Conduct:

Consequences for abusive conduct: In the event you violate these Terms of Service, NuDeal has the right to terminate your account without refund. In the event of a serious violation (as solely determined by NuDeal) NuDeal may also file suit against you for business interference or other appropriate legal theories and we will seek compensation from you for potential damage to our reputation caused by your actions. Some states do not allow the exclusion or limitation of liability to the extent set forth herein; therefore, this provision may not apply to every person as written.
Customer Warranties & Indemnification: You warrant and represent that
a. You shall abide by all the terms and conditions of this agreement;
b. You are of sufficient legal age to use this site and to create binding legal obligations for any liability you may incur as a result of the use of this site;
c. You will not take any action which would derogate NuDeal' or its licensors' rights in and to their intellectual property or content;
d. You will not infringe on the copyrights of any third parties;
e. You will not violate any laws in your use or postings of information on the site; and
f. You will not interfere in the business of NuDeal by posting information that violates the rules outlined above or by attempting to divert traffic from the Site. Choice of Law & Venue: This Agreement shall for all purposes be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, applicable to contracts negotiated and fully performed within that Province, and the parties agree to submit to the exclusive jurisdiction of the courts of the Province of British Columbia in any action brought to enforce or arising out of this Agreement. Notwithstanding the foregoing, NuDeal shall have the right to commence and prosecute any legal or equitable action or proceeding before any Canadian or non-Canadian court of competent jurisdiction to obtain injunctive or other relief in NuDeal' sole discretion.
Miscellaneous Terms:
No Partnership/Assignment. Our relationship is not one of agency or partnership and you will not be deemed to be a partner, employee, fiduciary, agent or representative of NuDeal by your use of the site. You may not assign or transfer your rights to any third party.
Severability. These terms are severable. In the event that any provision is determined to be unenforceable or invalid, such provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and such determination shall not affect the validity and enforceability of any other remaining provisions.
No Waiver. Failure to enforce a term of this agreement shall not be deemed a subsequent waiver of that term or other terms.
Termination of Membership Permitted. The license granted in this agreement shall terminate automatically without notice from NuDeal if you fail to comply with any provision of this agreement. NuDeal may terminate a free membership at its sole discretion.
Headings of No Effect. The headings in this agreement are used for convenience only and not for interpretation.
Entire Agreement. This agreement is the entire understanding between us regarding your access to, license and use of the site and its content and supersedes any prior agreements, statements or representations with respect to the same.
